Terms of Service

1. Agreement and scope

These Terms of Service apply to jm-forge.com, the JM Forge Client Portal, subscription products, APIs, data and research tools, automation and monitoring products, and other JM Forge services unless a signed proposal, order form, statement of work, or other written agreement says otherwise. By creating an account, purchasing a plan, or using a JM Forge service, you agree to these terms.

References to “JM Forge,” “we,” or “us” mean the operator of the JM Forge services from Massachusetts, United States. A specific written customer agreement may identify a separate contracting party and, if so, that agreement controls for the covered engagement.

2. Eligibility and accounts

You must be legally able to enter into the agreement that applies to your use of the service. You are responsible for accurate account information, protecting account credentials, and activity performed through your account. You must promptly notify JM Forge if you believe an account or session has been compromised.

3. Plans, usage limits, and access

Subscription plans include the features and usage limits shown on the pricing or plan page at the time of purchase, subject to these terms and any specific written agreement. Limits may include executions, records, schedules, concurrency, included products, or other capacity measures. Access may be limited or paused when a plan limit is reached, a subscription is inactive, or continued use presents a security, legal, or abuse risk.

4. Billing, renewals, and cancellation

Current public subscription checkout is processed through Stripe. Monthly and annual subscriptions renew automatically at the then-applicable recurring price until canceled, unless the checkout or a written agreement clearly states otherwise. Applicable taxes may be added where required.

You may manage supported billing details, payment methods, plan changes, invoices, and cancellation through the Client Portal and Stripe-hosted billing portal. Cancellation is generally scheduled for the end of the current paid billing period unless applicable law, a specific offer, or a written agreement requires a different result. Plan changes may produce prorated charges or credits when the billing system indicates that proration applies.

Refunds are not automatic merely because a subscription is canceled. Any refund is governed by applicable law, a specific written offer, or an applicable customer agreement. Nothing in these terms limits rights that cannot legally be waived.

5. Acceptable use

You may not use JM Forge to violate law, third-party rights, access controls, contractual restrictions, or source-system rules that apply to you. You may not attempt to bypass authentication or security controls, interfere with service operation, introduce malicious code, abuse rate or resource limits, use the service to facilitate fraud or unlawful surveillance, or use outputs in a way that is illegal or materially misleading.

6. Customer inputs and instructions

You retain rights you already have in information you submit to JM Forge. You grant JM Forge the permission reasonably necessary to host, transmit, transform, analyze, and otherwise process that information to provide, secure, support, and maintain the requested service. You are responsible for having the rights, permissions, and lawful basis needed for the data and instructions you provide.

7. Research, monitoring, and data outputs

JM Forge products may organize information from public sources, third-party services, customer inputs, or changing external systems. Outputs can be incomplete, delayed, unavailable, or changed by the source. Unless expressly agreed in writing, JM Forge does not guarantee that a research, monitoring, regulatory, marketplace, business, or technical output is complete, error-free, current, or suitable as the sole basis for a legal, credit, compliance, investment, safety, employment, procurement, or other high-impact decision. Independent verification remains the customer's responsibility.

8. Third-party services

Some features depend on third-party providers or external sources, including payment processors, infrastructure services, data sources, and platforms such as Stripe, Cloudflare, Resend, or Apify where applicable. Third-party availability, rules, and changes can affect JM Forge functionality. Your use of a third-party service may also be subject to that provider's terms.

9. Professional and custom services

Audits, advisory work, custom development, integrations, dedicated deployments, managed operations, or other project services may require a proposal, statement of work, or separate agreement defining scope, deliverables, dependencies, acceptance, fees, support, intellectual property, confidentiality, and service levels. Those specific terms control over these general terms where they conflict.

10. Intellectual property

JM Forge and its licensors retain ownership of pre-existing software, product designs, code, systems, documentation, trademarks, and other technology. Purchasing a subscription or service provides the right to use the applicable service under the relevant plan or agreement; it does not transfer ownership of JM Forge technology. Ownership or licensing of customer-specific deliverables is governed by the applicable written project agreement.

11. Availability and changes

JM Forge works to provide reliable services but does not promise uninterrupted or error-free availability unless a written service-level agreement expressly says so. Products may evolve, sources may change, and features may be modified for security, legal, reliability, or product reasons. We will use reasonable efforts to avoid materially reducing a paid service during a current billing period without notice when practical.

12. Suspension and termination

JM Forge may suspend or restrict access when reasonably necessary to address fraud, nonpayment, abuse, security risk, unlawful activity, material breach, or threats to other users or infrastructure. You may stop using the service at any time, subject to billing and cancellation terms for active subscriptions or contracts.

13. Disclaimers

Except for obligations expressly stated in a written agreement and to the maximum extent permitted by law, JM Forge services are provided on an “as available” basis. JM Forge disclaims implied warranties that cannot reasonably be supported for external-source data, third-party systems, or changing online services. These disclaimers do not exclude warranties or consumer rights that applicable law does not allow to be excluded.

14. Limitation of liability

To the maximum extent permitted by law, JM Forge will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, or for lost profits, lost revenue, lost opportunity, or loss of data arising from use of the service. For a claim relating to a paid JM Forge service, total liability will not exceed the fees paid for the affected service during the six months immediately preceding the event giving rise to the claim, unless applicable law or a written agreement requires a different limit.

15. Indemnity

To the extent permitted by law, you are responsible for claims arising from your unlawful use of the service, your violation of these terms, or data and instructions you provided without the rights or authorization required to use them.

16. Governing law

These terms are governed by the laws of the Commonwealth of Massachusetts and applicable United States federal law, without regard to conflict-of-law principles, except where mandatory law requires otherwise. Disputes that are not subject to a different written agreement will be brought in a court of competent jurisdiction in Massachusetts, subject to any non-waivable rights you may have.

17. Changes to these terms

JM Forge may update these terms to reflect product, provider, legal, or operating changes. The effective date at the top identifies the current version. Material changes affecting an active paid service may be communicated through the service or by email when appropriate.
